About Kelci

Kelci Laster focuses her practice in health law, with an emphasis on corporate law and governance, as well as partnership, affiliation, and joint venture strategy, creation and management. She advises her clients on transaction-related matters, frequently guiding them through hospital, ambulatory surgery center and physician group transactions, due diligence management and post-closing operational integration. Kelci assists a broad array of clients, including hospitals, health systems, physician groups and other nonprofit organizations, as they navigate the complex regulations that govern the health care and nonprofit industries.

Kelci’s transactional experience spans the full lifecycle of organizational growth and change, from entity formation and mergers to dissolutions and restructurings. She regularly leads or supports health care clients through mergers and acquisitions, drafts and negotiates a wide range of agreements (including physician employment, asset purchase, and professional services agreements), and manages state-level compliance and filings such as charitable solicitation registrations and foreign entity qualifications. Kelci also advises on regulatory compliance matters, particularly those involving the Stark Law and Anti-Kickback Statute, helping clients reduce risk while advancing their business objectives.

Clients often seek Kelci’s guidance on the best strategy for acquiring or divesting assets, or how to partner with another organization while maintaining autonomy and legal protections. Her ability to balance regulatory compliance with strategic business goals makes her a trusted advisor for organizations facing complex structural decisions.

Kelci is actively involved with her church and lives in Indianapolis with her husband. One of her favorite leisure activities is playing bocci ball.

  • Served as lead transaction and antitrust counsel for a regional non-profit health system that merged with another non-profit health system in a transaction where our client was the “surviving” entity.
  • Lead counsel for an academic medical center in the buyout of a minority interest in a radiation oncology center joint venture.
  • Lead counsel representing a regional, non-profit network of community and specialty hospitals in the acquisition of a radiology group practice’s assets, ARs and employment of roughly 65 physicians.
  • Supporting counsel to a health system for a joint venture which provided radiology services. Our client purchased another entity’s interest in the joint venture to become the sole owner.
  • Lead counsel for Illinois-based and private equity-backed orthopedic rehabilitation services company in the acquisition of certain assets of a multi-location Oklahoma-based physical therapy practice.
