Hospital and Physician Transactions Section attorneys assist clients in the highly regulated and complex area of corporate transactions between and among hospitals, health care facilities and physicians. Hall Render represents large health systems, free-standing hospitals and other health care facilities and large and small physician groups as buyers, sellers, affiliation partners and joint venture partners in corporate transactions. This transactional experience, coupled with Hall Render's knowledge of each health care provider's specific regulatory, operational, reimbursement and compliance issues, gives Hall Render a unique perspective, understanding and insight in its representation of health care clients on corporate transactions.
Hall Render provides services for the full range of corporate acquisitions, integrations and affiliations including mergers, asset and share purchases, joint operating agreements, affiliation agreements and physician practice acquisitions. Hall Render has extensive experience with representing hospitals, health care facilities and physicians in establishing joint venture operations. Hall Render also provides guidance regarding alternative corporate structures, including joint operating agreements, management contracts and other unique corporate transactions.
Hall Render helps hospitals and physicians structure their transactions to comply with the numerous laws governing hospital-physician relationships, including the Anti-Kickback Statute, the Stark Law, the Civil Monetary Penalties Law and, for tax-exempt hospitals, the applicable IRS regulations.
