About Joseph

Joe Kahn is a leading national health care M&A attorney. In just the last few years, Joe has served as lead counsel for over $23 billion worth of health care mergers, acquisitions and other transactions, including some of the largest health care transactions in the country. Providing his clients with responsive, strategic and practical advice, Joe serves as a trusted advisor to a broad spectrum of providers around the country, from some of the nation’s largest health systems to physician groups and other providers, as well as private equity-backed health care funds, portfolio companies and roll-up networks.

Joe has extensive experience advising on significant, complex strategic arrangements, including transactions from both the buyer side and the seller side, and the development of joint ventures, joint operating agreements and joint operating companies. Among his recent experience, Joe served as lead outside counsel on behalf of Intermountain Health in its merger with SCL Health, as well as lead counsel for New Hanover Regional Medical Center in its aggregate $5.3 billion 2021 sale transaction.

Joe is a shareholder and serves as Managing Partner of the firm’s Raleigh office. Joe is an active member of the American Health Law Association and is a past Chair of the North Carolina Bar Association’s Health Law Section as well as a past President of the North Carolina Society of Health Care Attorneys. Joe is also highly engaged in his community, having previously served as the Chair of the Board of the Central and Western Chapter of North Carolina Make-a-Wish Foundation and as a member of the Board for Schoolhouse of Wonder.

Recognized nationally for his legal acumen, Joe is ranked in the top band of North Carolina health care attorneys by Chambers USA, has been listed in Best Lawyers in America for more than 10 years (including recognition as Best Lawyers 2022 Raleigh Health Care Lawyer of the Year), as well as in North Carolina Super Lawyers.

Experience

  • Served as lead counsel in numerous hospital affiliation transactions. Transactions have included acquisitions of non-profit hospitals by for-profit entities and the acquisition of community hospitals by academic medical centers and other health systems.
  • Served as lead counsel in multiple hospital joint venture transactions. In North Carolina, this representation has included formation of a multi-hospital cancer center joint venture; formation of a 131E-14 hospital ownership joint venture; multiple clinical service line joint ventures; and multiple joint ventures between hospitals and ancillary providers.
  • Assisted in development of accountable care organizations and clinically integrated networks.
  • Serve as lead counsel for multi-hospital joint venture shared services organization.
  • Served as lead counsel in multiple home health, behavioral health and hospice sale transactions.
  • Routinely advises hospitals, ambulatory surgery centers, long-term care facilities and specialty providers on certificate of need, licensure, certification, and survey matters, as applicable.
  • Routinely advises on provider-based rules for multiple hospital systems related to outpatient locations, ancillary services, urgent care centers and freestanding emergency departments.
  • Performed due diligence and prepared regulatory self-disclosures in conjunction with numerous transactions.
  • Advised and assisted hospitals in the formation and implementation of multiple physician affiliate organizations.
  • Drafted confidential private placement memoranda in connection with the development of ambulatory surgery centers.
  • Serve as outside general counsel for hospital and provider entities.

  • Lead counsel for a physician behavioral health practice in the sale of a multi-site psychiatric practice to a private equity-backed management services organization.
